· Partnership Consultation: A dedicated 2-hour consultation session designed to align strategies, address questions, and provide tailored insights to enhance the joint venture’s success.

To facilitate the establishment of the joint venture, a one-time initiative fee of $1,500 will be required. This fee includes the following:

· Formation Guidance: Comprehensive support for establishing a Dealer Limited Liability Company (LLC), if applicable, to create a robust legal framework for the partnership.

· Non-Disclosure Agreement (NDA): Execution of an NDA via DocuSign, safeguarding sensitive information and offering insights into Navii Inc’s operations and business strategies.

· Purchase Option Agreement: Signing of a purchase option agreement via DocuSign, setting the stage for inventory acquisition and operational readiness.

· Auction Access: Granting access to exclusive dealer auctions for sourcing inventory, ensuring the venture begins with quality assets.

Initial Investment of $1,000 will be allocated for the acquisition of the first vehicle for the venture.

These foundational measures are critical for establishing trust, laying out clear expectations, and equipping both parties with the tools necessary for a seamless and successful collaboration.
